Below are links to some external websites and publicly available resources of certain Manufacturers, where some of the applicable Manufacturer Terms may be made accessible by the respective Manufacturer and may apply to certain Products included in an Offering. Capitalized terms used herein have the meanings given to. Capitalized terms used herein have the meanings given to them in the Product Sales Agreement between Customer and Supplier (“Agreement”). Any terms set forth herein in connection with the links provided are intended to supplement and be read together with the Agreement, form an integral part of the Offering, and shall not be construed to amend, override, or limit any provision of the Agreement.

Customer acknowledges and agrees that all Products included in any Offering, and any Orders resulting therefrom, are subject to any applicable Manufacturer Terms, including all updates, amendments, supplements, modifications, or successor terms that may be issued now or in the future. Customer further acknowledges and agrees that it is solely responsible for: (i) identifying, reviewing, obtaining, and complying with all applicable Manufacturer Terms prior to procuring, using, or relying on any Offering; (ii) contacting the applicable Manufacturer directly to request, obtain, or verify any Manufacturer Terms that may apply, including any future amendments, supplements, modifications, or successor terms; and (iii) resolving all support, warranty, servicing, performance, compatibility, compliance, defect, or other Product-related issues directly with the Manufacturer.

Customer further acknowledges and agrees that the inclusion of any link, document, or reference by Supplier to any Manufacturer Terms is provided solely for informational and convenience purposes and does not constitute any endorsement, guarantee, assurance, or representation by Supplier regarding the content, completeness, accuracy, availability, applicability, or enforceability of such terms. Supplier disclaims all responsibility and liability for the content of any Manufacturer Terms, including any errors, omissions, updates, or changes thereto, and for any failure to include or identify any Manufacturer Terms that may apply. Customer further acknowledges that Manufacturer Terms may be amended, updated, replaced, or withdrawn by the applicable Manufacturer at any time without notice and that Supplier shall have no obligation to monitor for changes to Manufacturer Terms or to update any links or references provided.
